Commercial awareness is a broad term, but in the commercial law context it is about understanding key commercial drivers of clients and how commercial issues influence the commercial context of their transactions.

Commercial awareness can cover:

  • Understanding how the level advice you deliver fits into your client’s commercial goals and realities – understanding that legal advice often needs to be coupled with commercial drivers
  • Understanding business models, market conditions, financial drivers and risks
  • Knowing that clients often think about risk and cost and commercial business impact, as well as legal protection

Businesses in the commercial sector will often expect their lawyers to understand commercial and business issues and set out practical advice which is both legally correct but also delivered with understanding the client’s commercial motivations. As a key example – let’s imagine you are negotiating a commercial contract for your client who acts as a business supplier. While legally you could negotiate extremely hard to protect your client from theoretical legal risks, pushing ‘too hard’ may cause dealbreakers and lose them business. So - advice would require a commercial understanding as well as sound legal expertise, so clients can understand legal and commercial risks to make an informed decision.

How Can Junior Lawyers Build Commercial Awareness in Practice?

Lawyers at a junior level can develop this skill through increased exposure to client matters, working with senior colleagues and coming to understand with practice how legal and commercial strategies align.

However, junior lawyers can accelerate their learning by actively engaging with commercial issues from the start e.g.:

  • Understand financial and marketing conditions by staying up to date with business issues e.g. reading publications such as the Financial Times or The Economist
  • Research to make a conscious effort to understand the industries their clients operate in
  • Research general business issues, to help gain insight into how those businesses generate revenue and manage risk
  • Reflect on commercial objectives of clients such as cost, timing, reputation, or strategic positioning
  • Ask senior legal colleagues about the commercial considerations they consider for their business clients – discussing how they explain risk, options and advise with commercial context
  • Attend any available training sessions, sector briefings and commercial updates which could impact your clients

Why Is Commercial Awareness Important for Career Progression?

When lawyers understand their clients’ commercial environment, they can offer advice that is both legally sound and practically and commercially relevant. This can help to nurture trust and often leads to stronger relationships with clients in the commercial sector. It can also differentiate lawyers - clients will often prefer lawyers with a good commercial understanding, rather than those who focus on legalese without a real understanding of commercial factors.

Firms may seek to give those junior lawyers with commercial insight greater responsibility and earlier exposure to client-facing work. These lawyers may see that they progress more quickly because they demonstrate a well-rounded approach that combines legal precision with a realistic commercial understanding.
